Please read these Terms of Service ("Terms") carefully before using ChirPolly. By creating an account or accessing any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

• "Service" means the ChirPolly web and mobile application, AI Tutor, curriculum content, and all related features.
• "Company," "we," "us," or "our" refers to ChirPolly.
• "User," "you," or "your" refers to any individual accessing or using the Service.
• "AI Tutor" refers to the artificial-intelligence-powered conversational learning assistant embedded within the Service.
• "Content" means all text, audio, video, exercises, and other material available through the Service.

2. Acceptance of Terms

By registering, accessing, or using ChirPolly you confirm that you:

1. Are at least 13 years of age (or the applicable age of digital consent in your jurisdiction).
2. Have the legal capacity to enter into a binding agreement.
3. Are not prohibited from using the Service under any applicable law.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Service Scope & User Access

3.1 Subscription Tiers

ChirPolly offers multiple tiers to suit your learning journey. The features included in each tier are as follows:

ChirPolly reserves the right to modify tier features with at least 14 days' prior notice to active paid subscribers.

3.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@chirpolly.com if you suspect unauthorised access.

3.3 Acceptable Use

You agree not to:

• Reproduce, redistribute, or commercially exploit any Service content without written permission.
• Reverse-engineer, scrape, or attempt to extract the AI Tutor's underlying model or training data.
• Use automated bots or scripts to generate AI Tutor sessions.
• Share your account with others or circumvent subscription limits.
• Upload or transmit unlawful, defamatory, or infringing content.

Violations may result in immediate account suspension without refund.

4. AI Tutor – Limitations & Disclaimer

Important Notice Regarding AI-Generated Content

The ChirPolly AI Tutor is designed solely for educational and language-learning purposes. By using the AI Tutor, you acknowledge and agree that:

1. Results May Vary. Language acquisition depends on individual effort, prior knowledge, learning frequency, and many other factors outside our control. ChirPolly does not guarantee any specific learning outcome or level of fluency.
2. Not a Source of Definitive Truth. AI-generated responses may contain errors, inaccuracies, dialectal variations, or outdated information. The AI Tutor must not be relied upon as an authoritative or academic reference for language rules, cultural facts, or professional translation.
3. Educational Aid Only. The AI Tutor supplements, but does not replace, qualified human instruction. For professional, legal, or medical language requirements, consult a certified human translator or instructor.
4. Evolving Technology. AI models are updated periodically. Responses may change over time as the underlying model improves.

ChirPolly expressly disclaims all liability for decisions made based on AI Tutor outputs.

5. Subscription & Billing

5.1 Payment Processor

All payments are securely processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle handles all billing, invoicing, tax collection, and payment compliance on our behalf. By subscribing, you also agree to Paddle's Terms of Service and Privacy Policy available at paddle.com.

5.2 Billing Cycle & Automatic Renewal

• Subscriptions are billed on a monthly or annual cycle, as selected at checkout.
• Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• You authorise Paddle to charge your chosen payment method for the applicable renewal fee without further action from you.
• Renewal pricing will be at the rate in effect at time of renewal, which may differ from your initial price if we have updated our pricing with prior notice.

5.3 Price Changes

We will notify active subscribers of price changes at least 30 days in advance via email. Continued use of a paid tier after the effective date of a price change constitutes acceptance of the new price.

5.4 Taxes

Prices displayed may exclude applicable taxes (GST, VAT, etc.). Paddle collects and remits taxes where legally required. The final amount charged will include any applicable taxes based on your billing location.

5.5 Cancellation

You may cancel your subscription at any time via your Account Settings or by contacting info@chirpolly.com. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.

6. Intellectual Property

6.1 Our Content

The Service, including all curriculum content, design, graphics, logos, AI Tutor interactions, and underlying technology, is the exclusive property of ChirPolly and its licensors. Nothing in these Terms grants you any ownership rights.

6.2 User-Generated Content

You retain ownership of any personal notes, recordings, or other content you create within the Service ("User Content"). By uploading User Content, you grant ChirPolly a worldwide, royalty-free, non-exclusive licence to store, process, and display your User Content solely for the purpose of operating the Service.

6.3 AI-Generated Outputs

Responses generated by the AI Tutor during your sessions are provided for personal educational use only. You may not republish, sell, or sub-licence AI-generated outputs. ChirPolly retains all intellectual property rights in the underlying AI models and generated content.

6.4 Feedback

Any suggestions or feedback you provide about the Service may be used by us freely without obligation or compensation to you.

7. Third-Party Services

The Service integrates with third-party services including:

• Firebase (Google LLC) – for authentication and analytics.
• Paddle – for payment processing.

Use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third parties.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

1. No Warranty. The Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
2. Service Interruptions. ChirPolly does not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components. We shall not be liable for any loss or damage arising from service outages, maintenance windows, or technical failures.
3. Inaccuracies. We are not liable for any inaccuracies in AI Tutor outputs, curriculum content, or any third-party data integrated into the Service.
4. Cap on Liability. In no event shall ChirPolly's total aggregate liability to you for any claims arising out of or related to these Terms or the Service exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim, or INR 500 (whichever is greater).
5. Exclusion of Consequential Damages. ChirPolly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages; in such cases, these limitations apply to the fullest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless ChirPolly, its partners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your violation of these Terms or misuse of the Service.

10. Termination

We reserve the right to suspend or terminate your account at any time for any violation of these Terms, with or without prior notice. Upon termination, your right to access the Service ceases immediately. Any provisions that by their nature should survive termination (including IP, limitation of liability, and governing law sections) shall continue to apply.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Bengaluru, Karnataka, India, without regard to its conflict of law provisions.

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of jurisdiction in Bengaluru.
